4. No Fiduciary Duties

To the fullest extent not prohibited by Applicable Law, GEMtrust DAO owes no fiduciary duties or liabilities to any participant or other party in connection with the Services or Gem DiCom. To the extent any such duties or liabilities may exist at law or in equity, you hereby irrevocably disclaim, waive, and eliminate those duties and liabilities.


5. User Responsibility for Transactions and Custody

Participants are solely responsible for their participation in Gem DiCom and for all matters relating to the safekeeping of their access credentials and participation documentation. GEMtrust DAO is not liable for any losses arising from a participant's failure to maintain appropriate security measures or from external security incidents beyond GEMtrust DAO's reasonable control.


6. Technological and Operational Risks

Participants acknowledge that the Services may be subject to technical limitations, interruptions, or errors. GEMtrust DAO endeavours to maintain the accuracy and availability of the Services but does not guarantee uninterrupted or error-free operation. Participants are solely responsible for their own evaluation of all information provided through the Services. This warning and others GEMtrust provides in these Disclaimers is in no way evidence or represent an ongoing duty to alert you to all of the potential risks of utilizing the Services or accessing the Site. Although we intend to provide accurate and timely information on the Site and during your use of the Services, the Site and other information available when using the Services may not always be entirely accurate, complete, or current and may also include technical inaccuracies or typographical errors. 8. No Control Over Underlying Technological Protocols

GEMtrust DAO does not own or control the underlying technological protocols used in connection with Gem DiCom. Such protocols operate independently of GEMtrust DAO and may be subject to changes, interruptions, or failures beyond GEMtrust DAO's control. GEMtrust DAO makes no guarantee of the functionality, security, or continued availability of any such protocols.


9. No Guarantee of Unit Value or Performance

GEMtrust DAO does not guarantee the value, performance, or liquidity of any GemUnit or participation interest in Gem DiCom. The value of underlying gemstone assets is subject to market conditions, independent appraisal outcomes, and other inherent risks. Independent third-party valuations determine the reference value of underlying assets; such valuations do not guarantee realizable market prices at any given time. The value of any participation interest in Gem DiCom is not fixed and may decrease as well as increase.


10. Regulatory Compliance

Participants are solely responsible for ensuring that their participation in Gem DiCom complies with all applicable laws and regulations in their respective jurisdictions. GEMtrust DAO does not represent that participation in Gem DiCom is permissible, suitable, or lawful under the laws of any particular jurisdiction.

GEMtrust DAO is not registered with, licensed by, or subject to the oversight of any financial regulatory authority in connection with the offer or administration of Gem DiCom. Participants are strongly encouraged to obtain independent legal and regulatory advice specific to their jurisdiction prior to participating.

Participation in Gem DiCom is restricted to qualified professional investors under applicable private placement frameworks. GEMtrust DAO reserves the right to restrict or terminate access for participants from jurisdictions where participation would be unlawful or subject to enhanced regulatory requirements.


11. Indemnification

Participants agree to defend, indemnify, and hold harmless GEMtrust DAO, its affiliates, and their respective members, directors, officers, employees, agents, representatives, and contractors from any claim, demand, lawsuit, action, proceeding, investigation, liability, damage, loss, cost or expense, including reasonable attorneys' fees, arising out of or relating to: (a) their use of the Services; (b) their participation in Gem DiCom or any related custody arrangements; (c) any information or content provided to GEMtrust DAO in connection with the Services; (d) their violation of applicable laws or regulations; or (e) their infringement or misappropriation of the rights of any other person or entity.


12. Disclaimers Regarding Physical Asset Backing

The physical gemstone assets underlying Gem DiCom are held in segregated institutional custody by an independent custodian. GEMtrust DAO does not retain direct ownership or operational control over the underlying gemstone assets. Independent third-party appraisals are used as reference valuations for Gem DiCom participation interests. GEMtrust DAO is not responsible for the physical custody, insurance, or day-to-day management of the underlying gemstone assets, which are governed by defined custodial arrangements as described in the governance framework documentation.
